The Agreement
These Terms of Service govern your relationship with ARQUAIL L.L.C. (referred to as "ARQUAIL," "we," or "us"). By using our website or engaging our services, you agree to these terms. We believe in clear agreements, not hidden clauses.

Our Services
ARQUAIL provides software engineering, embedded systems development, and staff augmentation services. We commit to delivering these services with professional care, adhering to industry standards and the specific requirements outlined in our individual project contracts (SOWs).

Intellectual Property (IP) Your Code:
Upon full payment, you own the intellectual property rights to the custom code and deliverables we create for you. We do not hold your IP hostage. Our Tools: We retain ownership of our pre-existing background technology, frameworks, and open-source components used to build your solution, granting you a perpetual, non-exclusive license to use them.

Confidentiality
We treat your business logic, data, and trade secrets as strictly confidential. We are happy to sign a Non-Disclosure Agreement (NDA) before detailed discussions begin. We expect the same respect for our proprietary methods and pricing.

Payment & Engagement
Specific payment terms (rates, milestones, net-30, etc.) are defined in our specific Service Agreements or Statements of Work (SOW).
Time & Materials: Invoiced based on actual hours/days worked.
Fixed Price: Invoiced based on pre-agreed milestones.

Liability & Warranties
We build high-quality software, but technology is complex.
No Implied Warranty: Services are provided "as is" without warranties of merchantability or fitness for a particular purpose, unless explicitly stated in a contract.
Limitation of Liability: ARQUAIL is not liable for indirect, incidental, or consequential damages (including lost profits) arising from the use of our services or website. Our total liability is limited to the fees paid by you in the 6 months preceding the claim.

Governing Law
These terms are governed by the laws of the Republic of Kosovo. Any disputes shall be resolved in the competent courts of Prishtina.
